So, give a tablet to your kids in the\nbackseat, let your partner steer the wheel, and enjoy our antitrust law Summer\nSSNIPpets &#8211; small but significant news, information and pleasantries, our pet\nproject!<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Infrastructure for competition<\/strong><\/h2>\n\n\n\n<p>It is High Season in Salzburg, Festival time, the place is crowded by the rich, the famous and also some intellectuals, and apart from assembling for some Mozart opera, some of them come together at the <a href=\"http:\/\/convoco.co.uk\/\">Convoco-Forum<\/a>. Corinne Flick hosts Convoco, she is a lawyer, holds a PhD in literature and belongs to all three categories named above. This year, her guests discussed the &#8220;Standing of Europe in the New Imperial World Order\u201d. One panel discussed competitiveness. Monika Schnitzer, an economics professor from Munich and a member of the German Commission drafting reform proposals for European competition law (\u201cKommission Wettbewerbsrecht 4.0\u201d) addressed her first question to Roberto Viola, Director General at the European Commission for pretty much everything digital (and <a href=\"https:\/\/ec.europa.eu\/digital-single-market\/roberto_violas_blog\">he is a blogger!<\/a>); he is the Laitenberger of DG CONNECT.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p><em>Schnitzer:<\/em> \u201eWhat percentage of the EU budget goes into agriculture and what percentage goes into digital, and do you think the EU sets the right priorities?\u201d <\/p><p><em>Viola<\/em>: \u201cAbout one third of the budget goes into agriculture, and 3 % of the budget into digital.\u201d <\/p><\/blockquote>\n\n\n\n<p>The\naudience had a good and desperate laugh.<\/p>\n\n\n\n<p>In the same\npanel, Stefan Oschmann, CEO of pharmaceutical company Merck, made it crystal\nclear what he expects from politicians so that European companies are on a\nlevel playing field: It is not industrial policy in an old-fashioned way, but a\npolicy that fosters the digital infrastructure. Europe needs its own cloud, the\ndevelopment of microchips with AI and the promotion of supercomputers. These\nare the streets, bridges and railways of our time. Otherwise, European\ncompanies will be marginalised by US and Chinese competition. Director General\nViola (who made a very good impression on me) fully agrees with Oschmann. So,\nwell, let\u2019s do &#8212; something!<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Learning from Microsoft<\/strong><\/h2>\n\n\n\n<p>Part of creating\nthat infrastructure for competitiveness is to tame big tech. It seems to me\nthat there is consensus among German managers in this regard. The US steps up\npressure on GAFA, too. The <a href=\"https:\/\/www.nytimes.com\/2019\/07\/25\/technology\/chris-hughes-facebook-breakup.html\">New York Times<\/a> reports that Chris Hughes, a former\nroommate of Mark Zuckerberg at Harvard and a co-founder of Facebook, went to\nsee enforcers at the antitrust authorities, together with Scott Hemphill (New\nYork University) and Tim Wu (Columbia University), to push for tougher\nenforcement. <\/p>\n\n\n\n<p>The\nEconomist recommends to Zuckerberg, Bezos &amp; Co. to <a href=\"https:\/\/www.economist.com\/leaders\/2019\/07\/25\/what-microsofts-revival-can-teach-other-tech-companies\">learn from Microsoft\u2019s experience<\/a>. The former Number One enemy of the\nantitrust authorities has recently managed to become the most valuable company\nin the world without being too visible in antitrust map. One advice taken from\nthe Microsoft saga of the early 21<sup>st<\/sup> century: \u201eThird, work with\nregulators rather than try to outwit or overwhelm them.\u201d<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Infrastructure for justice<\/strong><\/h2>\n\n\n\n<p>Safeguarding\nthe infrastructure is also an issue for the judiciary. The President of the\nStuttgart Regional Court (\u201cLandgericht\u201d), Andreas Singer, called on politics to\nget more staff. His court is sort of paralyzed by lawsuits directed against Daimler,\nthe motor company. Of course, the focus is on that Diesel issue, but Singer\nalso <a href=\"http:\/\/www.landgericht-stuttgart.de\/pb\/site\/jum2\/get\/documents\/jum1\/JuM\/import\/landgericht%20stuttgart\/pdf\/PDF%20f%C3%BCr%20Pressemitteilungen\/Pressegespr%C3%A4ch%202019%20-%20Handout.pdf\">provided impressive figures<\/a> on antitrust law: <\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p>\u201cThere are currently around 250 lawsuits pending concerning the trucks cartel. (\u2026) In the past 15 years, only 1-2 such antitrust claims had been filed. The Stuttgart Regional Court has already handed down more than 20 judgments on the trucks cartel in 2018 and 2019 alone, despite the process-related unavoidable long duration of proceedings.&#8221;<\/p><\/blockquote>\n\n\n\n<figure class=\"wp-block-image\"><img loading=\"lazy\" decoding=\"async\" width=\"747\" height=\"1024\" src=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-747x1024.jpg\" alt=\"\" class=\"wp-image-2525\" srcset=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-747x1024.jpg 747w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-219x300.jpg 219w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-768x1052.jpg 768w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-600x822.jpg 600w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-440x603.jpg 440w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler-197x270.jpg 197w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Daimler.jpg 821w\" sizes=\"auto, (max-width: 747px) 100vw, 747px\" \/><figcaption>The company shown here is the most important supplier of the LG Stuttgart.<\/figcaption><\/figure>\n\n\n\n<p>The\nclaimants ask for damages between 3,500 and 100 million Euros, in one case\nalone 12,500 trucks are involved, and each procurement process has to be\nexamined individually. In addition, the 30th Chamber of the court has a claim\nof 261 million Euros plus interest connected to an antitrust case on round timber.\nSome of the asserted claims date back to 1978 (Case No. 30 O 176\/19).<\/p>\n\n\n\n<p>What can we\nsay to give some comfort to the Stuttgart judges? I think of Christian\nMorgenstern&#8217;s poem <a href=\"http:\/\/www.christian-morgenstern.de\/dcma\/index.php?title=The_Two_Roots\">&#8220;The Two Roots&#8221;<\/a>. What else is there to say? Squeak.\nSquawk.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>New guidelines, new regulations, new fines<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\"><li>The\nDirectorate-General for Competition (do you also have difficulties with finding\nthings on their website? Can Google run a makeover there?) has published\n&#8220;Guidelines for national courts on how to estimate the share of overcharge\nwhich was passed on to the indirect purchaser\u201d, in short: <a href=\"http:\/\/ec.europa.eu\/competition\/antitrust\/actionsdamages\/passing_on_en.pdf\">Passing-on-Guidelines<\/a>.<\/li><li>The\nCommission consults on the handling of business secrets in antitrust damage claims,&nbsp; <a href=\"http:\/\/ec.europa.eu\/competition\/consultations\/2019_private_enforcement\/index_en.html\">consultation is ongoing<\/a> \u2013 until 18 October 2019.<\/li><li>The\n<a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/EN\/TXT\/?uri=CELEX:32019R1150\">P2B-Regulation<\/a> was published in the Official\nJournal. It is <em>antitrust law light<\/em>\nwith all kinds of transparency obligations in the platform 2 business area.<\/li><li>The\nCommission <a href=\"https:\/\/europa.eu\/rapid\/press-release_IP-19-2049_en.htm\">imposed a fine<\/a> on General Electric in April for misleading\ninformation in its merger control proceedings concerning the acquisition of LM\nWind (\u20ac52 million).<\/li><li>Canon\nis to pay \u20ac28 million for <a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/ip_19_3429\">gun-jumping<\/a> in the two-stage acquisition of\nToshiba Medical Systems.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Less work, less fines<\/strong><\/h2>\n\n\n\n<p>If I hire a\nsubcontractor to do a job for me, I&#8217;ll pay for it, of course. And if he still owes\nme, we&#8217;ll do the math. That is how the European Commission does in fining\nproceedings.<\/p>\n\n\n\n<p>The Commission imposed a fine of \u20ac 6.2 million on Sanrio for having territorial restrictions in licence agreements for the distribution of <a href=\"https:\/\/en.wikinews.org\/wiki\/Thai_police_to_wear_%27Hello_Kitty%27_armbands_as_punishment\">Hello Kitty Merchandise<\/a>. However, Sanrio&#8217;s wonderful cooperation in this case led to a 40 % reduction of the fine, according to <a href=\"https:\/\/europa.eu\/rapid\/press-release_IP-19-3950_en.htm\">the Commission\u2019s press release<\/a>. The Commission is thus continuing to honour cooperation in non-cartel cases. In the Guess? procedure it had <a href=\"http:\/\/ec.europa.eu\/competition\/publications\/data\/factsheet_guess.pdf\">already spelled this out<\/a>. <\/p>\n\n\n\n<p>I, well,\nguess that you may reduce the fine in exchange for helping with the\nproceedings. (I always wonder though how to reconcile this with the principle\nof <em>nemo tenetur<\/em>. There is no\nobligation for self-incrimination, true, but it still works as a strong\nincentive). In cases of hardcore cartels, the reduction of fines finds its\nlegitimacy in the well-known game-theoretical model: The bonus is granted above\nall for bringing down the cartel and dragging others into the abyss. <\/p>\n\n\n\n<figure class=\"wp-block-image\"><img loading=\"lazy\" decoding=\"async\" width=\"1024\" height=\"747\" src=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-1024x747.jpg\" alt=\"\" class=\"wp-image-2526\" srcset=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-1024x747.jpg 1024w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-300x219.jpg 300w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-768x560.jpg 768w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-600x438.jpg 600w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-440x321.jpg 440w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty-370x270.jpg 370w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Hello-Kitty.jpg 1564w\" sizes=\"auto, (max-width: 1024px) 100vw, 1024px\" \/><figcaption>Hello Kitty!<\/figcaption><\/figure>\n\n\n\n<p>If, as in\nthe case of Sanrio, only a single undertaking is the perpetrator, this strand\nof legitimacy is not available. The reduction in fines is actually just the\nauthorities\u2019 way to say thank you for relieving them of their work. The fact\nthat this &#8211; as with the cuteeee kitties &#8211; can lead to a 40% reduction (and it\nwas 50 % with Guess?) seems exaggerated to me. With such a fining policy, the\nEuropean Commission is turning from a law enforcement authority to a notary for\ncorporate self-incrimination.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Travel Advice<\/strong><\/h2>\n\n\n\n<p>Since you\ncan&#8217;t let go of antitrust law anyway when you hit your way through the\nwilderness on Cape York, take the ferry to Martha&#8217;s Vineyard on Cape Cod or\nsail at the Cape of Good Hope, we still have the official travel information\nfor at least these three destinations:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><br><strong>Australia<\/strong><\/h3>\n\n\n\n<p>The Australian Competition &amp; Consumer\nCommission (ACCC) published its <a href=\"https:\/\/www.accc.gov.au\/focus-areas\/inquiries\/digital-platforms-inquiry\/final-report-executive-summary\">final report on Digital Platforms<\/a>. Caron Beaton-Wells, who hosts the\nbeloved <a href=\"https:\/\/competitionlore.com\/\">Podcast Competition Lore<\/a>, called the report a\n&#8220;thundering tome&#8221;. With over 600 pages this is certainly no\nunderstatement. I only browsed through the Executive Summary, which already has\n42 pages (for experts pp. 30 ff. are exciting). \u201cThere are no quick fixes or\nmagic bullet solutions\u201d, Caron states <a href=\"https:\/\/pursuit.unimelb.edu.au\/articles\/accc-doubles-down-on-digital-platforms\">in a first assessment<\/a>.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"alignright\"><img loading=\"lazy\" decoding=\"async\" width=\"224\" height=\"300\" src=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-224x300.jpg\" alt=\"\" class=\"wp-image-2529\" srcset=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-224x300.jpg 224w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-768x1028.jpg 768w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-765x1024.jpg 765w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-600x803.jpg 600w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-440x589.jpg 440w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo-202x270.jpg 202w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/kangaroo.jpg 787w\" sizes=\"auto, (max-width: 224px) 100vw, 224px\" \/><figcaption>Yes, take a look!<\/figcaption><\/figure><\/div>\n\n\n\n<p>Interestingly,\ncompetition, consumer protection, data protection and media regulation are all dealt\nwith in one go. From a European antitrust law perspective, the only new-ish\nproposal seems to be that the ACCC wishes to negotiate specific notificiation\nregimes with &#8220;large digital platforms&#8221;. There are many referrals to\nEurope. Pioneers are travelling here.<\/p>\n\n\n\n<p><em>Recommended as a tourist destination for:\nMargrethe Vestager and Andreas Mundt. They get the confirmation that they got\nsome things right.<\/em><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><br><strong>USA<\/strong><\/h3>\n\n\n\n<p>If you had\nbeen unhappy with U.S. politics for a while, this may come as some reconciling\nnews: Compliance programs will be taken into account when sanctions are imposed\nby the Department of Justice in the future. <a href=\"https:\/\/www.justice.gov\/opa\/pr\/antitrust-division-announces-new-policy-incentivize-corporate-compliance\">In a press release<\/a> the DoJ states: <\/p>\n\n\n\n<p>\u201cThe\nAntitrust Division is committed to rewarding corporate efforts to invest in and\ninstill a culture of compliance,\u201d said Assistant Attorney General Delrahim. (\u2026)\nThe Justice Manual previously explained the Antitrust Division\u2019s policy \u201cthat\ncredit should not be given at the charging stage for a compliance program.\u201d\nThat text has been deleted.\u201d<\/p>\n\n\n\n<p><em>Recommended as a tourist destination for:\nIn-house lawyers.<\/em><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><br><strong>South Africa<\/strong><\/h3>\n\n\n\n<p>In South\nAfrica the <a href=\"https:\/\/www.gov.za\/documents\/competition-amendment-act-18-2018-englishafrikaans-14-feb-2019-0000\">Competition Act Amendment 18\/2018<\/a> has partially entered into force.\nDue to the creepy apartheid, the country carries a difficult legacy with it,\nalso in economic terms: Some markets are enormously concentrated, the black\npopulation is still structurally disadvantaged economically. <\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"alignleft\"><img loading=\"lazy\" decoding=\"async\" width=\"238\" height=\"300\" src=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-238x300.jpg\" alt=\"\" class=\"wp-image-2527\" srcset=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-238x300.jpg 238w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-768x967.jpg 768w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-813x1024.jpg 813w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-600x756.jpg 600w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-440x554.jpg 440w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela-214x270.jpg 214w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/Mandela.jpg 980w\" sizes=\"auto, (max-width: 238px) 100vw, 238px\" \/><figcaption> Still a lot to do \u2013 Nelson Mandela. <\/figcaption><\/figure><\/div>\n\n\n\n<p>Is that a\nmatter for competition law? Absolutely! In South Africa&#8217;s antitrust law, for\nexample, there are references to &#8220;historically disadvantaged\npersons&#8221;. Now, with the amendment, one criterion for assessing mergers is \u201ca\ngreater spread of ownership, in particular to increase the levels of ownership\nby historically disadvantaged persons and workers in firms in the market\u201d. <\/p>\n\n\n\n<p>Since some\nmarkets are so highly concentrated, \u201cmarket inquiries\u201d become an important\ninstrument: if the Competition Commission finds an \u201cadverse effect\u201d in such a\nmarket, it can remedy it \u2013 if necessary with unbundling and divestments. That\nis a sector inquiry with very sharp teeth. And another delicacy: for repeat\noffenders, the maximum fine is raised from 10% to 25% of annual turnover. I\ndidn&#8217;t say it was recommended for imitation.<\/p>\n\n\n\n<p><em>Not recommended as a tourist destination for: European\nlegislators.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><br><strong>Sharks<\/strong><\/h2>\n\n\n\n<p>Andrea\nOrcel has a competition problem of a kind. The Italian is one of the most\nsuccessful investment bankers in the world, he held top positions at Merrill\nLynch and UBS. Because of his Italian good looks, the media named him\n&#8220;George Clooney of Investment Banking&#8221;, others called him &#8220;el\ntibur\u00f3n de las finanzas globales&#8221;, which in his circles is probably seen\nas accolades. Orcel left UBS to join Banco Santander. That didn&#8217;t work.\n(Official) reason: Santander could not pay the &#8220;transfer fee&#8221;.<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img loading=\"lazy\" decoding=\"async\" width=\"402\" height=\"519\" src=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/George_Clooney_2016.jpg\" alt=\"\" class=\"wp-image-2530\" srcset=\"https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/George_Clooney_2016.jpg 402w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/George_Clooney_2016-232x300.jpg 232w, https:\/\/www.d-kart.de\/wp-content\/uploads\/2019\/08\/George_Clooney_2016-209x270.jpg 209w\" sizes=\"auto, (max-width: 402px) 100vw, 402px\" \/><figcaption> Andrea Orcel (similar to figure) <\/figcaption><\/figure><\/div>\n\n\n\n<p>According\nto the media (e.g. <a href=\"https:\/\/www.euromoney.com\/article\/b1cqdpjflv86bl\/banking-what-santanders-failure-to-appoint-andrea-orcel-as-ceo-means-for-the-industry\">here<\/a> or <a href=\"https:\/\/www.worldfinance.com\/wealth-management\/andrea-orcel-the-shark-of-global-finance\">here<\/a>), Orcel still had claims at UBS for immense boni\nthat could not be paid out directly \u2013 a consequence of the regulation of\nfinancial markets. If Orcel switches to a competitor as a \u201cbad leaver\u201d, his\ncontract allegedly states that his pay package is lost. Santander was supposed\nto make up for that, but decided to drop out at some point. Mr. Orcel can now wait\n\u2013 without working \u2013 for the money shower at some future point of time, or lose\na lot of money and start to work again. These are the terrible fates of\nemployees. <a href=\"https:\/\/www.d-kart.de\/ascola-conference-aix-en-provence-2019\/\">Eric Posner\u2019s lecture at Ascola<\/a> 2019 came to my mind: \u201eWhy has antitrust\nlaw failed workers?\u201c<\/p>\n\n\n\n<p>According\nto <a href=\"https:\/\/www.theguardian.com\/business\/2019\/jul\/26\/santander-trades-accusations-banker-andrea-orcel-denied-top-job\">the latest reports<\/a>, things now get really cheesy-sleazy\nwith lawsuits and possibly illegal tapes and accusations of hubris.
